1. About these Terms

These Terms & Conditions apply to your use of the Mint Fox Digital website at https://mintfoxdigital.com and any related pages, content, forms and communications.

By using this website, you agree to these Terms & Conditions. If you do not agree, please do not use the website.

Where we enter into a separate written proposal, quotation, scope of work or agreement with you, that document will take priority over these Terms to the extent of any inconsistency.

We are a remote web design and development agency working with clients in India, the UAE, the USA, the UK, Australia and Europe.

You must not misuse the website by knowingly introducing viruses, trojans, worms, malicious code or other harmful material.

You must not try to gain unauthorised access to the website, the server it is hosted on, or any connected server, computer or database. Such actions may be offences under the Information Technology Act, 2000.

We may suspend, restrict or withdraw access to all or part of the website at any time for maintenance, security, operational or legal reasons.

4. Website content and information

We aim to keep the information on this website accurate and up to date. However, content is provided for general information only and is not professional, legal, financial or technical advice.

We do not guarantee that the website content will always be complete, accurate, current or free from errors.

Any reliance you place on information on this website is at your own risk.

5. Intellectual property

Unless stated otherwise, all intellectual property rights in this website and its content, including text, branding, logos, graphics, images, layout, code and design, are owned by or licensed to Mint Fox Digital.

You may view and print pages from this website for your own reference, provided you do not modify the material or use it in a misleading or unlawful way.

You must not copy, reproduce, republish, distribute, adapt, scrape or commercially use any website content without our prior written permission.

Client names and logos shown on this website belong to their respective owners and are displayed to show work we have delivered.

6. Enquiries, quotes and contracts

Sending an enquiry, booking a call, requesting a quote or otherwise contacting us does not create a binding contract between you and Mint Fox Digital.

Our services, including website design, website development, e-commerce websites and landing pages, are provided only under a separately agreed proposal, quotation or scope of work.

No contract for services exists until both parties have agreed the scope of work, timeline and fees in writing, including by email.

7. Our services

The exact deliverables, milestones, timelines, fees and approval process for each project will be set out in the relevant proposal, quotation or scope of work.

Unless agreed otherwise in writing, our services cover the design, development and launch of the agreed website. Ongoing maintenance, hosting management, content updates, search engine optimisation and marketing services are not included.

We may use trusted third-party platforms, software, hosting providers, plugins or freelance specialists where reasonably needed to deliver the services.

Timelines are estimates unless expressly agreed as fixed deadlines. Delays caused by late content, missing information, late approvals, access issues, changes in scope, third-party systems or events outside our reasonable control may change the timeline.

Work requested outside the agreed scope will be treated as a change request and may be quoted separately.

8. Revisions and approvals

Each project includes the number of revision rounds set out in the proposal. Additional revisions may be charged separately.

Once you approve a design, page or stage of work, later changes to that approved work may be treated as a change request.

9. Fees, payment and taxes

All fees are payable as set out in the proposal or invoice we issue. Unless agreed otherwise, we may ask for an advance payment before work begins, with the balance due on the milestones agreed.

Unless stated otherwise, our fees are exclusive of GST and any other applicable taxes, which will be added where required by law.

For international clients, fees will be invoiced in the currency agreed in the proposal. Bank charges, currency conversion costs and any withholding taxes are the client's responsibility unless agreed otherwise.

Third-party costs, such as domain names, hosting, premium themes, plugins, stock images, fonts or software licences, are charged separately unless expressly included in writing.

We may pause work, withhold deliverables or delay launch if invoices remain unpaid after their due date.

10. Client responsibilities

To help us deliver your project on time, you agree to provide accurate information, timely feedback, approvals, content, images and access to any platforms or accounts we need.

You are responsible for making sure that any content, images, logos, trademarks, data and other materials you give us can be lawfully used, and that you have all necessary rights and permissions.

You are responsible for the accuracy and legality of the content published on your website, including product information, prices, claims and policies.

We are not responsible for delays, rework or extra costs caused by incomplete briefs, inaccurate information, scope changes or late approvals.

11. Results

We design and build websites to look professional, work well and support your business goals. However, unless expressly agreed in writing, we do not guarantee any specific number of visitors, leads, sales, search rankings or revenue.

Website performance can be affected by many factors outside our control, including market conditions, competition, search engine algorithms, marketing activity, hosting, user behaviour and changes made to the website after handover.

12. Ownership of deliverables

Unless agreed otherwise in writing, ownership of the final website design and code created specifically for you will transfer to you once all fees for the project have been paid in full.

Until full payment is received, all deliverables remain the property of Mint Fox Digital.

Third-party themes, plugins, fonts, images and software remain subject to their own licence terms.

We keep ownership of our pre-existing materials, know-how, frameworks, code libraries, templates and reusable components used in delivering the services, and grant you a licence to use them as part of your website.

We may show the completed work in our portfolio, case studies and marketing materials unless you ask us in writing not to.

13. Handover

On completion and full payment, we will hand over the website and the access details agreed in the proposal. After handover, you are responsible for managing, updating, securing and backing up your website, hosting and domain.

14. Third-party websites and platforms

This website may contain links to third-party websites, tools or services, which are provided for convenience only. We do not control them and are not responsible for their content, security, availability or practices.

Websites we build may rely on third-party platforms such as hosting providers, content management systems, e-commerce platforms, payment gateways and plugins. Your use of those platforms is subject to their own terms and policies, and we are not responsible for their downtime, changes or failures.

15. Confidentiality

Where we receive confidential information during an enquiry or project, we will take reasonable steps to keep it confidential and use it only for purposes connected with that enquiry or project.

This does not apply to information that is already public, was lawfully known to us before you shared it, is lawfully received from a third party, or must be disclosed by law.

16. Data protection

We process personal data in line with applicable Indian law, including the Information Technology Act, 2000, the rules made under it, and the Digital Personal Data Protection Act, 2023 as it comes into force. Please see our Privacy Policy for details.

17. Limitation of liability

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Indian law.

To the fullest extent permitted by law, we exclude all implied warranties and conditions relating to this website and its content.

To the fullest extent permitted by law, we will not be liable for any indirect or consequential loss, including loss of profits, revenue, business, data, goodwill or opportunity, arising from your use of, or inability to use, this website or any website we deliver.

In relation to our services, our total liability will not exceed the fees you paid us for the specific project giving rise to the claim, unless a different limit is agreed in your contract or proposal.

18. Indemnity

You agree to indemnify Mint Fox Digital, its directors, employees and contractors against any losses, claims, damages, costs and expenses arising from your misuse of this website, your breach of these Terms, or any content or materials you supply that infringe the rights of a third party.

19. Website availability and security

We do not guarantee that this website will always be available, uninterrupted, secure or free from bugs or viruses. You are responsible for using your own antivirus software and securing the devices and networks you use to access it.

20. Changes to these Terms

We may update these Terms & Conditions from time to time to reflect changes to our business, services or the law. Any updated version will be posted on this page with a revised “Last updated” date. By continuing to use the website after changes are published, you accept the updated Terms.

21. Severability and waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

If we do not enforce any right or provision at any time, this does not mean we waive that right or provision in the future.

22. Governing law and disputes

These Terms & Conditions, and any dispute arising out of or in connection with them or your use of this website, are governed by the laws of India.

The parties will first try to resolve any dispute through good-faith discussion. If the dispute is not resolved within 30 days, it may be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Delhi, India, and proceedings will be conducted in English.

Subject to the above, the courts at Delhi, India will have exclusive jurisdiction.
